Health Industry Distributors Association ("HIDA") provides these Terms and Conditions (the "Terms and Conditions") to you, the user of the HIDAnetwork.com service (hereinafter referred to as "user" or "you"). These Terms and Conditions govern your use and participation in HIDAnetwork.com. PLEASE READ THIS DOCUMENT CAREFULLY. You understand that accessing or transmitting information, registering or otherwise participating in HIDAnetwork.com constitutes and shall be deemed an acceptance by you of the following Terms and Conditions. HIDA reserves the right, at its sole discretion, to change, modify or add to these Terms and Conditions, at any time, and without prior notice to you. If you do not agree with these Terms and Conditions, you must not use or participate in HIDAnetwork.com.

Members, expert advisors, and other moderators may post messages on HIDAnetwork.com. A moderator is designated by the prefix "Host" or otherwise so identified within HIDAnetwork.com. The primary purpose of the moderator is to make members feel comfortable using HIDAnetwork.com, to keep conversations from drifting off-topic, to monitor HIDAnetwork.com for violations of these Terms and Conditions, to stimulate discussion, to answer questions, and to educate. You understand that any information, commentary, recommendations, advice, ideas or materials provided on any bulletin board, message board, or other online conference or telecast through HIDAnetwork.com by a member or moderator are not the views of, or attributable to HIDA, with the exception of statements posted by HIDA staff members or authorized HIDA representatives. HIDA assumes no responsibility for, and does not guarantee, the accuracy, currency, completeness or usefulness of information or any material in HIDAnetwork.com and it does not endorse any opinions or recommendations posted by you or other members or moderators. You should exercise discretion and skepticism before relying on information in messages, since it may be incorrect or misleading. You agree that to the extent you rely on information posted within HIDAnetwork.com, you do so solely at your own risk. HIDA does not pre-review, screen or edit messages posted on HIDAnetwork.com. Notwithstanding the foregoing, you acknowledge and agree that HIDA reserves the right to monitor any and all information transmitted or received through HIDAnetwork.com. HIDA, at its sole discretion and without any notice to you, may monitor, remove or prohibit the transmission or receipt of any information posted within HIDAnetwork.com which HIDA considers inappropriate or in violation of any of these Terms and Conditions.

You understand that using HIDAnetwork.com for an illegal purpose or to transmit content that is unlawful, harassing, libelous, invasive of another's privacy, harmful, vulgar, obscene, or otherwise objectionable, may result in removal of messages and/or termination of your use of HIDAnetwork.com. Among the categories of postings or actions that could result in the removal of a message and/or the termination of your use of HIDAnetwork.com are:

• The unauthorized posting of material, nonpublic information aboutbusiness organizations or individuals.
• The use of HIDA to transmit junk mail, spam, or unsolicited mass distribution of emails.
• The posting or transmittal of content that you are prohibited by law from transmitting (e.g., third-party copyright or trademark, or information encouraging or promoting any activity in violation of the antitrust laws) or that you are prohibited from transmitting by contractual or fiduciary duties (e.g., nondisclosure agreement terms).
• The posting of content that is threatening or harassing of any other individual or entity, particularly any member of HIDA, or HIDA.
• The posting or transmittal of sexually explicit content.
• The posting of knowingly false or misleading statements.
• The posting of information to manipulate, or attempt to manipulate the market for any publicly traded security.
• The impersonation by you of any person or entity, or any false statement of affiliation by you with any person or entity.
• The posting or transmittal of any unsolicited advertising, promotional or marketing materials, sales information or other forms of solicitation.

The content available through HIDAnetwork.com is the property of HIDA or its licensors and is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. You agree that all content located on HIDAnetwork.com is the sole property of HIDA or its licensors. You understand and agree that the information in, or derived from HIDAnetwork.com message boards, bulletin boards, or other parts of HIDAnetwork.com, including communications, photos, video, graphics and other material may not be copied, republished, redistributed, transmitted, altered, edited or exploited in any manner for any purpose, without the express written permission of HIDA. You agree that HIDA, its affiliates and any independent contractor engaged by HIDA to assist in moderating HIDAnetwork.com, shall not be liable for any errors or omissions in the content of any information provided through HIDAnetwork.com, or for any actions taken by you, or any third-party, in reliance thereon. Any information discussed within HIDAnetwork.com includes information that has been obtained from sources considered reliable, but such information is not guaranteed, and HIDA makes no representation or warranty as to the accuracy or completeness of this information, and such information should not be relied upon as such. Such information is inherently subject to change without notice and may become dated. You should therefore verify any information obtained before you act upon it.

You agree that upon posting information within HIDAnetwork.com, you grant HIDA, and its successors and assigns a nonexclusive, worldwide, royalty free, perpetual, irrevocable license under your copyrights or other intellectual property rights, if any, in such material to use, distribute, display, reproduce, and create derivative works from such material in any and all media, in any manner, whole or part, without any duty to account to you. You also grant HIDA the right to authorize the downloading and printing of such material, or any portion thereof, by end users for their personal use.

You agree that information transmitted by you to HIDA is not confidential unless specifically agreed to by HIDA in advance of such transmission (such as the privacy of information you submit for HIDA use only). You agree that HIDA and its affiliates shall not be liable for any direct, indirect, special, incidental, or consequential damages caused by the unauthorized use or misappropriation of any and all information that you transmit to HIDA.

HIDAnetwork.com contains links to third-party Web sites and resources on the Internet. HIDAnetwork.com provides links to these other Web sites only as a convenience. The inclusion of such links on HIDAnetwork.com is not an endorsement by HIDA , implied or otherwise, of the linked site or any products or services in such sites, and no information in such site has been endorsed or approved by HIDA . The linked sites are not under the control of HIDA, and HIDA is not responsible for the contents of any linked site or any link contained in a linked site. You agree that under no circumstances shall HIDA be held responsible or liable, for any loss or damages caused or alleged to have been caused by use of or reliance on any content, goods or services available on such hyperlink sites.

YOU EXPRESSLY AGREE THAT USE OF HIDAnetwork.com AND THE CONTENT THEREIN IS AT YOUR OWN RISK AND HIDA HAS NO LIABILITY OR OBLIGATION TO YOU WITH RESPECT TO HIDAnetwork.com AND THE CONTENT THEREIN. HIDA IS NOT AND WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY MESSAGES OR POSTINGS. HIDA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OR MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE.

IN NO EVENT SHALL HIDA's AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT EXCEED FIVE THOUSAND DOLLARS ($5,000).

If you believe that any message posted or other conduct in connection with a board or message infringes or violates your rights or is in violation of these terms, please notify HIDA so we may promptly address your complaint. When you notify us, it will be helpful if you would identify yourself with your real name and the best way to contact you if we need further information from you regarding your complaint. HIDA may, in appropriate circumstances and at its sole discretion, remove or disable access to, material on HIDAnetwork.com that infringes on the rights of third parties.

These Terms and Conditions are to be governed by and construed in accordance with the laws of the Commonwealth of Virginia. In the event of any dispute concerning HIDAnetwork.com, its content or your use, you agree that any litigation shall be subject to the exclusive jurisdiction of the state or federal courts in Alexandria, Virginia.
